Villanueva Ortiz Abogados, S.C., advised and represented the syndicate of lenders, including Banco Sabadell, S.A., Institución de Banca Múltiple,  HSBC México, S.A., Institución de Banca Múltiple, Grupo Financiero HSBC, CaixaBank, S.A., and Banco Monex, S.A., Institución de Banca Múltiple, Monex Grupo Financiero  leaded by the Administrative and Security Agent, SabCapital, S.A. de C.V., SOFOM, E.R. (an affiliate of Banco de Sabadell, S.A., Institución de Banca Múltiple) in connection with a restructuring of a syndicated senior secured credit facility. The restructuring of the credit facility derived by the acquisition of the Hotel “Hyatt Regency Mexico City” by Fibra SOMA, through a SPV, as buyer and HR MC Hotel Company, S. de R.L. de C.V. (a vehicle controlled by Grupp Rodina), as seller.

The acquisition of the Hotel was made through a change of control for a total amount of USD$355,000,000.00 million.

Fibra SOMA, owned primarily by Grupo Sordo Madaleno is a leading Real Estate Investment Trust focused on the acquisition, development, leasing and management of for-lease properties in Mexico, with over $85 Billion Mexican Pesos in assets. The portfolio owned by Fibra SOMA consists in multiple high-end shopping centers, a mixed-use property which includes offices and retail and the Hotel “Hyatt Regency Mexico City”. Grupo Sordo Madaleno is a world-known Mexican architecture firm with projects in Mexico, United States, Spain and Paraguay.
